Welcome to Guesty ACH Payouts – a seamless way to send payouts on your Guesty’s Accounting solution, powered by Airwallex’s payment infrastructure (the “Payout Service”).
By using the Payout Service, you agree to the following terms and conditions (the “Terms”).
1. Use of the Payout Service and Data Consent.
By using the Payout Service, you agree and acknowledge that:
1.1. You authorize Guesty to facilitate your access to Airwallex’s platform.
1.2. All payouts are executed solely by Airwallex. Guesty does not control the initiation, timing, routing, or successful completion of any payout.
1.3. Guesty bears no liability for the execution of payouts by Airwallex. You are responsible for verifying payout instructions, monitoring execution, and raising any issues without delay.
1.4. Once a payout has been initiated, it is irrevocable and cannot be canceled, withdrawn, or reversed. You are solely responsible for reviewing payout details before confirmation.
1.5. You expressly consent to Guesty sharing your personal, financial, and transactional data with Airwallex, and to Airwallex collecting, processing, and using such data as required to provide the service. Any such sharing or use will be carried out in accordance with applicable data protection laws and Guesty’s Privacy Policy, which supplements these Terms.
1.6. Airwallex may conduct its own know-your-customer (KYC) and compliance checks and may, in its sole discretion, approve or reject your application to use the Payout Service. Guesty has no control over, or liability for, Airwallex’s decision.
1.7. Your use of the Payout Service may be subject to your acceptance of Airwallex’s own Terms & Conditions, which will be presented to you during onboarding.
2. Acceptable Use.
2.1. You will use the Payout Service only in compliance with applicable laws and your agreements with third parties.
2.2. You will not use the Payout Service, or knowingly permit its use, in a fraudulent, unlawful, deceptive, or harmful manner.
2.3. You are responsible for securing your credentials and all activity that occurs under your account.
2.4. You must provide complete, accurate, and up-to-date information at all times, and promptly provide any additional information (including customer due diligence information) that may reasonably be requested to comply with Guesty’s or Airwallex’s obligations under applicable law.
2.5. You represent and warrant that all information you provide is true, accurate, complete, and current.
3. Representations and Warranties.
3.1. You acknowledge that the Payout Service incorporates systems and compliance processes provided by Airwallex. Guesty is not responsible for Airwallex’s performance.
3.2. Guesty will use reasonable efforts to make the Payout Service available; however, availability is not guaranteed and may be subject to interruptions.
3.3. NOTWITHSTANDING ANYTHING TO THE CONTRARY AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PAYOUT SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. GUESTY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, AND NON-INFRINGEMENT. GUESTY MAKES NO WARRANTY THAT THE PAYOUT SERVICE WILL BE UNINTERRUPTED, FREE OF VIRUSES OR OTHER HARMFUL CODE, TIMELY, SECURE, OR ERROR-FREE. YOU USE THE PAYOUT SERVICE AT YOUR OWN DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR (AND GUESTY DISCLAIMS) ANY AND ALL LOSS, LIABILITY, OR DAMAGES RESULTING FROM YOUR USE OF THE PAYOUT SERVICE.
4. Limitation of Liability.
4.1. Guesty is not responsible for, and disclaims all liability, for your, your employees, and your agents’ acts or omissions. In no event will Guesty be liable for any lost profits, or any indirect, punitive, incidental, special, consequential, or exemplary damages arising from your use of the Payout Service.
4.2. Without derogating from the generality of the above and to the maximum extent permitted by law, Guesty assumes no responsibility for: (a) unauthorized access to your account; (b) service interruptions; (c) software bugs, viruses, or other harmful code that may be transmitted to or through the service; (d) errors, inaccuracies, or omissions of information, or any damages or losses incurred as a result of such errors inaccuracies or omissions, resulting from the use of the service; and/or (e) conduct of any third party, including Airwallex.
5. Pricing and Payment.
5.1. By using the Payout Service, you agree to pay the following fees (the “Fees”):
5.1.1. Activation Fee: $100 (one-time fee, upon activation).
5.1.2. Transaction Fee: $0.95 per transaction.
A “transaction” means each individual payment to a recipient, whether initiated as a single payout or as part of a batch payout.
Example: If you initiate a batch payout to pay two recipients, the Transaction Fee will be applied twice ($0.95 × 2 = $1.90).
5.2. The Activation Fee will be billed and invoiced as a one-time fee on the month following the activation.
5.3. The Transaction Fees will apply to each transaction, whether the transaction is successful or fails, and will be invoiced on a monthly basis according to the Customer’s billing cycle.
5.4. The applicable Transaction Fees will be displayed in the Guesty platform before you confirm a payout. By initiating a payout, you agree to the fees shown at the time of confirmation.
5.5. Guesty may update or increase the fees at any time, at its sole discretion.
6. Activation and Termination.
6.1. The activation of the Payout Service is subject to: (i) your acceptance of these Terms, (ii) your acceptance of Airwallex’s Terms, and (iii) completion of Airwallex’s onboarding and compliance requirements.
6.2. Termination by you: You may terminate your use of the Payout Service at any time, subject to payment of any fees incurred for executed payouts.
6.3. Termination by Guesty: In addition to any legal remedies that may be available to Guesty, we may temporarily or permanently suspend or terminate your use of the Payout Service, if we determine, in our sole discretion, that (i) you breach these Terms, (ii) you fail to satisfy Airwallex’s onboarding or compliance requirements, (iii) you engage in unlawful activity, (iv) we are required to do so by law or regulation, or (v) we are instructed or required to do so by Airwallex. Guesty may also terminate the Payout Service for all users upon notice, at its discretion.
7. Other terms.
7.1. Guesty may update these Terms from time to time. Your continued use of the Payout Service after any updates to these Terms constitutes your acceptance of the updated Terms.
7.2. Guesty’s Terms of Service, and Privacy Policy and AI Use Policy are incorporated into and supplement these Terms. If there is any inconsistency between these Terms and the Terms of Service, these Terms will prevail.
